Terms of Service

This page covers the general Terms of Service for using ExpoCommand. It does not include the Vendor Agreement, which is specific to each event and presented separately when you complete your vendor checklist for that event.

Welcome to ExpoCommand ("we," "our," or "us"). By accessing or using our website, platform, and event management tools (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not use the Service.

1. Description of Service

ExpoCommand provides an online event management platform that allows event organizers ("Organizers") to design floor plans, manage booth sales, process payments, and track vendor attendance. It also allows vendors ("Vendors") to browse floor plans, book booth spaces, complete checklists, and manage event bookings.

2. Account Registration & Security

  • Account Creation: To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration.
  • Account Responsibility: You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Unauthorized Use: You must immediately notify ExpoCommand of any unauthorized use of your account or any other breach of security.

3. Roles and Responsibilities

3.1 For Organizers

  • Event Accuracy: Organizers are solely responsible for the accuracy of their floor plans, booth measurements, pricing, event details, and any built-in vendor agreements they require Vendors to sign.
  • Compliance: Organizers must ensure their events and vendor requirements comply with all applicable local, state, and federal laws.
  • Disputes: Any disputes regarding booth assignments, event cancellations, or refunds are strictly between the Organizer and the Vendor.

3.2 For Vendors

  • Booking and Accuracy: Vendors are responsible for reviewing floor plans, selecting appropriate booths, providing accurate business information, and completing required event checklists before show day.
  • Organizer Agreements: Vendors acknowledge that by booking a booth, they may be required to e-sign separate vendor agreements controlled and provided by the Organizer. ExpoCommand is not a party to those agreements.

4. Fees and Payment Processing

  • Payment Gateways: ExpoCommand integrates with third-party payment processors (including Stripe and PayPal) to facilitate transactions between Vendors and Organizers.
  • Platform Fees: ExpoCommand may charge a subscription fee, transaction fee, or service fee for using the platform, as detailed during your account setup or checkout. All fees are non-refundable unless otherwise stated.
  • Financial Discretion: ExpoCommand is not a bank or a payment processor. We are not liable for payment failures, processing delays, or chargebacks. Financial transactions are governed by the terms of the respective third-party payment processors.

5. Intellectual Property

  • Our Property: ExpoCommand and its original content, visual floor plan builders, features, functionality, and logos are and will remain the exclusive property of ExpoCommand and its licensors.
  • Your Content: Organizers and Vendors retain ownership of the data, logos, and content they upload to the platform. However, by uploading content, you grant ExpoCommand a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content solely to provide the Service.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any illegal purpose or to organize fraudulent events.
  • Interfering with, disrupting, or compromising the system integrity or security of the Service.
  • Using automated systems (including robots, spiders, or scrapers) to access the Service.
  • Bypassing the platform's payment systems to avoid paying ExpoCommand platform fees.

7. Limitation of Liability and Disclaimers

  • "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ExpoCommand makes no warranties, express or implied, regarding the uptime, accuracy, or reliability of the floor plan tools, QR check-in systems, or real-time dashboards.
  • No Liability for Events: ExpoCommand is a software platform, not an event coordinator. We are not liable for any losses, damages, injuries, cancellations, or disputes arising from physical events managed through our platform.
  • Cap on Liability: To the maximum extent permitted by law, ExpoCommand’s total liability for any claims arising out of these Terms shall not exceed the amount you paid to ExpoCommand in the past twelve (12) months.

8. Termination

We reserve the right to terminate or suspend your account and access to the Service instantly, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ExpoCommand operates, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
